End user licence agreement for the Trident pilot

This is a template and no lawyer has read it. I wrote it in plain language so a pilot customer can actually read it before signing. It is not legal advice and it is not an attorney-drafted contract. Pilot customers sign the then-current version as part of their pilot agreement, and where the signed agreement and this page disagree, the signed agreement wins.

1. Who this is between

Marvera, owner Joao Afonso Vaz, Portugal, referred to below as "Marvera" or "I", and the organisation that installs or uses the Trident extension, referred to as "you". Installing Trident or using it means you accept these terms on behalf of your organisation.

2. What you get

A non-exclusive, non-transferable licence to install and use Trident in the Business Central tenant or tenants named in your pilot agreement, for your own internal business operations, for the length of the pilot term. That is the whole grant. Anything it does not expressly give you is reserved.

3. You are running pre-release software

Trident is in the 0.1.x series. Features move, get added and get taken out between builds, and table structures can change in ways that need a migration step. Keep your normal Business Central backup practice running throughout.

Do not treat pilot-phase Trident as the only record of anything you cannot afford to lose. The underlying Business Central ledgers stay yours and stay authoritative; Trident sits on top of them.

4. What you may not do

  • Redistribute, sell, rent or sublicense Trident, or make it reachable by organisations outside the licensed tenants.
  • Reverse engineer, decompile or disassemble it, except where applicable law permits that despite this clause.
  • Strip or alter copyright, trademark or attribution notices.
  • Use non-public Trident designs or code to build something that competes with it.

5. Your data

It stays in your Business Central tenant and it stays yours. Marvera does not receive or store it. The extension emits anonymous operational telemetry only, set out in the privacy policy. That policy describes how data is handled; it is a separate document and is not part of this agreement.

6. Support

As described on the docs page: report by email, acknowledgement inside two business days, security reports handled confidentially and ahead of other work. Real problems get fixed as fast as I can fix them, but during the pilot there is no committed resolution time and no service level unless your pilot agreement writes one in.

7. Intellectual property

The code, the designs and the documentation belong to Marvera and stay with Marvera. This agreement licenses use and transfers nothing. If you send feedback or suggestions I may build on them without owing you anything for it, and to be explicit, your business data is not "feedback" and this sentence does not reach it.

8. No warranty

Trident is provided as is and as available. Being pre-release software, it carries no warranty of any kind, express, implied or statutory, including fitness for a particular purpose. You are choosing to run early software; this agreement is priced and written on that basis.

9. Limitation of liability

So far as the law allows, Marvera's total liability under this agreement is capped at what you paid for Trident in the twelve months before the event behind the claim, and neither side is liable to the other for indirect or consequential loss, lost profit or lost data. Nothing here excludes liability that cannot be excluded under applicable law, including liability for wilful misconduct or gross negligence.

10. Term and termination

This agreement runs for the pilot term agreed with you. Either side may end it on thirty days' written notice. Marvera may end it immediately if you materially breach these terms and have not cured the breach within fourteen days of being told about it. On termination you uninstall the extension.

Termination does nothing to your data. It is in your tenant and it stays there.

11. Governing law, changes, contact

Portuguese law governs this agreement, and anything the parties cannot settle between themselves goes to the competent Portuguese courts.

I may revise this template between pilot rounds. The version attached to your signed pilot agreement is the one that binds you; this page always carries the current template and its date.
